These Terms & Conditions explain the rules and conditions governing your use of heartsdreamdesign.com and the content, artwork, products, services, licensing information, educational materials, and other offerings made available by Hearts Dream Design LLC.

The Site is owned and operated by Hearts Dream Design LLC, a California limited liability company.

By accessing or using the Site, you agree to these Terms & Conditions. If you do not agree with these Terms & Conditions, please discontinue use of the Site.

1. DEFINITIONS

“Company,” “Hearts Dream Design,” “HDD,” “we,” “us,” or “our” means Hearts Dream Design LLC and heartsdreamdesign.com.

“Content” means the written, visual, video, audio, downloadable, digital, or other material appearing on or distributed through the Site, including artwork, illustrations, surface-pattern designs, collections, photographs, graphics, text, blog or journal content, newsletters, licensing information, educational materials, courses, workshops, guides, downloads, forms, worksheets, and other creative materials.

“Artwork” means original artwork, illustrations, surface patterns, motifs, designs, collections, photographs, graphics, sketches, drawings, paintings, prints, digital works, and other visual creative works displayed, offered, or referenced through the Site.

“Products and Services” means products, services, content, licenses, courses, workshops, educational offerings, downloads, or other offerings made available by Hearts Dream Design now or in the future.

“Site” means heartsdreamdesign.com and its associated pages, forms, landing pages, subpages, and other web-based features operated by Hearts Dream Design.

“You” or “your” means a visitor, subscriber, prospective licensee, customer, client, student, purchaser, or other person accessing or interacting with the Site.

2. PURPOSE OF THE SITE

Hearts Dream Design is an art and surface-pattern design studio.

The Site is intended to display original artwork and design collections; provide information about Hearts Dream Design and its creative work; facilitate artwork and surface-pattern licensing inquiries; provide links to products or outside marketplaces; communicate with newsletter subscribers; and, from time to time, offer products, courses, workshops, educational materials, downloads, or other creative services.

Some features or offerings described in these Terms may not yet be available. These Terms are intended to accommodate the Site as Hearts Dream Design develops its services and offerings.

3. ACCEPTANCE OF THESE TERMS

By accessing or using the Site, you agree to comply with these Terms & Conditions and applicable law.

These Terms apply to ordinary browsing as well as interactions with Site forms, licensing inquiries, newsletter-related Site features, Products and Services, and other Site functionality.

Separate transactions, artwork licenses, courses, products, or services may also be governed by additional agreements or terms. If a separate written agreement between you and Hearts Dream Design conflicts with these general Terms regarding the subject of that agreement, the specific written agreement will control to the extent of the conflict.

4. GENERAL AUDIENCE AND USE BY MINORS

The publicly accessible portions of the Site are intended for a general audience and are not restricted solely to adults.

Hearts Dream Design creates and displays artwork and creative content that may be viewed by people of different ages. Some individual works, collections, articles, or pages may address mature, sensitive, challenging, or otherwise age-dependent themes. Where Hearts Dream Design determines that a particular page or work warrants additional context, we may provide an appropriate content notice.

We cannot determine what every parent, guardian, family, or visitor considers suitable for a particular child or teenager.

Parents and legal guardians are responsible for supervising minors in their care, monitoring their use of the internet and this Site, and determining whether particular Content is appropriate for them.

Minors may not independently enter into purchases, licenses, subscriptions requiring contractual capacity, or other legally binding transactions where applicable law requires the involvement or consent of a parent or legal guardian.

Nothing in this section is intended to limit rights or protections provided to children or minors under applicable law.

5. SITE RULES AND PROHIBITED USES

You agree to use the Site lawfully and in a manner that does not interfere with Hearts Dream Design, other users, or the rights of others.

You may not use the Site to engage in unlawful, fraudulent, abusive, harassing, defamatory, malicious, or otherwise prohibited activity.

You may not attempt to gain unauthorized access to the Site, accounts, servers, databases, administrative systems, or other technology associated with the Site.

You may not knowingly introduce malware, viruses, malicious code, automated attacks, or other harmful technology.

You may not scrape, harvest, systematically extract, or use automated means to obtain Content or data from the Site except as expressly authorized by Hearts Dream Design or permitted by applicable law.

You may not falsely represent yourself as Hearts Dream Design, Julia Cuyler, an employee or representative of Hearts Dream Design, an authorized licensee, or a person or business endorsed by or affiliated with Hearts Dream Design.

You may not use the Site or its Content in a manner that infringes copyright, trademark, privacy, publicity, contractual, or other rights belonging to Hearts Dream Design or another person.

6. OWNERSHIP OF ARTWORK AND CONTENT

Unless expressly identified otherwise, the original Artwork and Content displayed on or made available through the Site are owned by Hearts Dream Design LLC and/or Julia Cuyler or are used by Hearts Dream Design with permission.

Artwork and Content may be protected by United States and international copyright, trademark, and other intellectual-property laws.

All rights not expressly granted in these Terms or in a separate written agreement are reserved.

The presence of Artwork on heartsdreamdesign.com does not place that Artwork in the public domain and does not constitute a waiver, abandonment, transfer, or general license of Hearts Dream Design's intellectual-property rights.

7. VIEWING ARTWORK DOES NOT GRANT A LICENSE

This distinction is particularly important because heartsdreamdesign.com functions in part as a portfolio and artwork-licensing website.

Viewing Artwork on the Site does not give you permission to commercially use, reproduce, manufacture from, adapt, modify, distribute, sell, sublicense, publish, or otherwise exploit that Artwork.

Saving, downloading, photographing, screen-capturing, pinning, bookmarking, or otherwise technically obtaining a copy or image of Artwork does not by itself grant you ownership of the Artwork or a license to use it.

The technical ability to copy or save an image should not be interpreted as permission to use it.

Submitting an inquiry about Artwork does not reserve the Artwork, create exclusivity, transfer ownership, or grant a license.

Discussing a potential license with Hearts Dream Design does not grant a license.

Receiving samples, mockups, portfolio materials, previews, or other information for evaluation does not grant a license except to the extent expressly stated in writing.

A commercial license to use Hearts Dream Design Artwork exists only when Hearts Dream Design expressly grants permission through an applicable written license, contract, purchase agreement, or other written authorization.

Any such license is limited to the rights actually granted in that agreement.

8. PERMITTED PERSONAL AND SOCIAL SHARING

Hearts Dream Design welcomes reasonable sharing that allows people to discover the Artwork and find its original source.

Unless otherwise stated for a particular work, you may share an image of Hearts Dream Design Artwork for ordinary noncommercial social-media, editorial, commentary, or personal sharing provided that you do not materially alter the Artwork, do not remove an existing signature, copyright notice, attribution, or watermark, clearly credit Hearts Dream Design and/or the identified artist, do not imply that you created or own the Artwork, do not imply an endorsement, sponsorship, license, or affiliation that does not exist, and do not use the Artwork to advertise or sell your own product or service.

Whenever reasonably possible, please link directly to the relevant page on heartsdreamdesign.com rather than uploading or distributing a high-resolution or standalone reproduction.

You are always welcome to share a direct link to a publicly available page on heartsdreamdesign.com, provided the link is not deceptive and does not falsely suggest endorsement, sponsorship, partnership, or affiliation.

Permission for ordinary sharing under this section does not grant any commercial license or ownership interest.

Nothing in these Terms is intended to prohibit uses independently permitted by applicable law, including lawful fair use.

9. USES THAT REQUIRE PERMISSION OR A LICENSE

Except where independently permitted by applicable law, you must obtain appropriate written permission or a license before using Hearts Dream Design Artwork or protected Content for commercial purposes.

Without appropriate permission, you may not reproduce Artwork on fabric, apparel, stationery, cards, prints, home décor, packaging, books, publications, websites, digital products, merchandise, promotional items, advertisements, branding, products for sale, or other commercial goods or services.

You may not sell, rent, sublicense, license, redistribute, or commercially exploit Artwork or protected Content.

You may not create or sell derivative products based substantially upon Hearts Dream Design Artwork without authorization.

You may not remove or obscure copyright notices, signatures, artist identification, watermarks, or other rights-management information.

You may not represent Hearts Dream Design Artwork as your own.

If you are interested in commercial use, licensing, collaboration, publication, manufacturing, or another use not covered by the sharing permission above, please contact Hearts Dream Design at hello@heartsdreamdesign.com.

10. ARTIFICIAL INTELLIGENCE, DATASETS, AND AUTOMATED USE

Except where expressly authorized in writing by Hearts Dream Design or independently permitted by applicable law, you may not use Artwork or protected Content from the Site to train, fine-tune, develop, evaluate, benchmark, or supply datasets for generative artificial-intelligence systems, machine-learning models, image-generation systems, or similar technologies.

You may not systematically scrape, harvest, download, compile, or reproduce Hearts Dream Design Artwork for use in image datasets, training corpora, prompt libraries, style-reference databases, or similar collections.

You may not use Hearts Dream Design's name, an artist's name, Artwork, or collections in a manner falsely suggesting that AI-generated or third-party work was created, authorized, endorsed, or licensed by Hearts Dream Design or the identified artist.

Nothing in this section is intended to restrict activity that cannot lawfully be restricted by contract or applicable intellectual-property law.

11. LICENSING INQUIRIES

Hearts Dream Design welcomes inquiries from art directors, manufacturers, publishers, retailers, brands, agencies, and other potential licensing partners.

Information displayed on the Site regarding the availability of Artwork is informational and does not constitute an offer or guarantee that particular Artwork remains available for a particular use, product category, territory, term, or exclusivity arrangement.

Availability can change.

Licensing terms, permitted products, territory, duration, exclusivity, compensation, attribution, production quantities, approval rights, and other conditions will be established through the applicable licensing agreement or written authorization.

If there is a conflict between these general Terms and a signed licensing agreement, the licensing agreement controls regarding the licensed Artwork and transaction.

12. THIRD-PARTY MARKETPLACES, PRODUCTS, AND EXTERNAL SELLERS

Hearts Dream Design may provide links to products featuring Hearts Dream Design Artwork that are sold through third-party marketplaces or sellers, including Spoonflower.

The Site may in the future link to additional marketplaces, manufacturers, print-on-demand providers, stationery or journal companies, card or print companies, retailers, fulfillment providers, or other outside sellers.

A product appearing on or being linked from heartsdreamdesign.com does not necessarily mean Hearts Dream Design is the seller of record or that the purchase takes place through Hearts Dream Design.

When you follow an external purchasing link, you may be leaving the Hearts Dream Design Site and entering a website operated independently by another company.

Purchases made from third-party sellers are subject to the seller's own terms, prices, payment requirements, shipping practices, return and refund policies, warranties, privacy policies, and customer-service procedures.

Hearts Dream Design is not responsible for an independent third party's website, account system, transaction processing, shipping, fulfillment, product quality, availability, privacy practices, or customer service except to the extent responsibility cannot lawfully be excluded or Hearts Dream Design has expressly undertaken that responsibility.

13. OTHER THIRD-PARTY LINKS

The Site may contain links to social-media platforms, articles, resources, businesses, organizations, services, or other websites that Hearts Dream Design does not control.

External links may be provided for convenience, information, reference, inspiration, purchasing, or other legitimate purposes.

The presence of a link does not necessarily mean that Hearts Dream Design endorses, controls, sponsors, or accepts responsibility for the linked website or all of its content, opinions, products, policies, or practices.

You are responsible for reviewing the terms and privacy practices of third-party websites you choose to use.

14. FUTURE DIRECT ECOMMERCE AND PURCHASES

Hearts Dream Design may offer direct purchasing, ecommerce, downloads, or other paid Products and Services through heartsdreamdesign.com in the future.

If direct purchases become available, additional purchase terms may apply, including pricing, payment, delivery, cancellation, return, refund, subscription, or other transaction-specific conditions.

Those terms will be disclosed as appropriate before or at the time of purchase.

Hearts Dream Design may use third-party payment processors and ecommerce providers to process transactions.

We will review and update these Terms as appropriate when direct ecommerce becomes available.

15. COURSES, WORKSHOPS, AND EDUCATIONAL OFFERINGS

Hearts Dream Design may from time to time offer courses, workshops, classes, demonstrations, educational materials, downloads, guides, or other creative-learning opportunities.

Some of these offerings may not yet be available when these Terms are published.

Specific courses, workshops, or educational products may be subject to additional enrollment, payment, cancellation, refund, participation, intellectual-property, or access terms.

Unless expressly stated otherwise, purchasing access to educational Content gives the purchaser a limited right to personally use the material. It does not transfer copyright or grant the right to reproduce, teach, publish, resell, sublicense, distribute, upload, or commercially exploit the material.

16. ACCOUNTS AND PASSWORDS

If Hearts Dream Design offers customer, student, member, or other accounts in the future, you are responsible for maintaining the confidentiality of your login credentials and for reasonable activity occurring through your account.

You may not intentionally provide another person with access to paid or restricted Content through your individual account unless the applicable offering expressly permits sharing.

Please notify us at hello@heartsdreamdesign.com if you believe an account has been accessed without authorization.

17. SUBMISSIONS AND COMMUNICATIONS TO HEARTS DREAM DESIGN

If you send Hearts Dream Design an inquiry, message, proposal, document, reference image, project brief, or other material, you represent that you have the right to provide that material to us for the purpose for which you are submitting it.

Unlike a public user-generated-content platform, merely contacting Hearts Dream Design does not grant Hearts Dream Design unrestricted ownership of your submission.

You retain whatever ownership rights you otherwise have in material you submit.

You give Hearts Dream Design permission to review, store, reproduce internally, and otherwise use the submitted material to the extent reasonably necessary to respond to your inquiry, evaluate a proposed project or license, provide requested services, maintain appropriate business records, or carry out another purpose you expressly authorize.

Confidential information should not be submitted unless appropriate confidentiality arrangements have been made.

Nothing in this section transfers ownership of Hearts Dream Design Artwork to you or ownership of your independently owned materials to Hearts Dream Design.

18. NO GUARANTEE OF AVAILABILITY

We make reasonable efforts to maintain the Site, but we do not guarantee that heartsdreamdesign.com or every feature, page, image, link, Product, Service, or piece of Content will always be available, uninterrupted, secure, or error-free.

We may modify, remove, replace, reorganize, archive, or discontinue Site Content or functionality.

Artwork displayed as potentially available for licensing may become unavailable, licensed, withdrawn, modified, or otherwise restricted without prior notice.

19. ACCURACY, ERRORS, AND OMISSIONS

Hearts Dream Design makes reasonable efforts to provide accurate and useful information.

However, Site Content may occasionally contain errors, omissions, outdated information, typographical mistakes, technical inaccuracies, broken links, display differences, or other imperfections.

Colors and Artwork may appear differently depending on screens, devices, browsers, printing processes, materials, and manufacturing methods.

We reserve the right to correct errors and update Site information.

20. EDUCATIONAL AND INFORMATIONAL CONTENT

Any educational, creative, business, process, or informational Content provided through Hearts Dream Design is offered for general informational and educational purposes unless expressly stated otherwise.

Hearts Dream Design does not provide legal, medical, tax, investment, or other regulated professional advice through general Site Content.

Nothing on the Site creates an attorney-client, accountant-client, medical-provider, fiduciary, or similar professional relationship.

Visitors should obtain appropriate professional advice for decisions requiring such expertise.

21. NO GUARANTEE OF RESULTS

Examples, stories, testimonials, demonstrations, case studies, educational Content, or descriptions of creative or business processes are not guarantees that another person will achieve identical results.

Creative, educational, business, licensing, and commercial outcomes depend upon circumstances outside Hearts Dream Design's control.

22. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Site and general Site Content are provided on an “as is” and “as available” basis.

Hearts Dream Design makes no guarantee that the Site will be uninterrupted or completely free from errors, security vulnerabilities, viruses, or other technical problems.

To the extent permitted by law, we disclaim warranties that may otherwise arise regarding general use of the Site, whether express or implied.

Nothing in these Terms excludes warranties, consumer protections, or other rights that cannot lawfully be waived or excluded.

23. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Hearts Dream Design LLC, its members, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to use of, or inability to use, the Site or general Site Content.

We are not responsible for losses caused solely by an independent third-party website, marketplace, platform, payment provider, manufacturer, retailer, or service that we do not control.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.

Any transaction-specific limitation of liability applicable to a paid Product, Service, course, or license may be stated separately in the agreement or purchase terms governing that transaction.

24. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Hearts Dream Design LLC and its members, employees, contractors, and representatives from third-party claims, liabilities, losses, and reasonable expenses arising directly from your unlawful use of the Site, your material violation of these Terms, your infringement of another person's intellectual-property or other legal rights, or material you submit without having the right to do so.

This section is not intended to require you to indemnify Hearts Dream Design for claims arising solely from Hearts Dream Design's own unlawful conduct where such indemnification would be prohibited by law.

25. ENFORCEMENT AND PROTECTION OF RIGHTS

Hearts Dream Design values respectful resolution of disagreements and encourages you to contact us at hello@heartsdreamdesign.com if a problem arises.

At the same time, Hearts Dream Design reserves all rights and remedies available under applicable law to protect its Artwork, intellectual property, business, Site, contractual rights, and other legitimate interests.

Where reasonably appropriate, we may request that unauthorized use cease, request removal of infringing material, pursue platform or service-provider takedown procedures, terminate access to restricted services, seek payment or other contractual remedies, or take other appropriate legal action.

Nothing in these Terms requires Hearts Dream Design to ignore, waive, or refrain from enforcing its legal rights.

26. TERMINATION OR RESTRICTION OF ACCESS

We may restrict or terminate access to restricted Site features, accounts, Products, Services, courses, downloads, or other non-public resources where a user materially violates these Terms, infringes intellectual-property rights, engages in fraud or abuse, threatens Site security, or otherwise acts unlawfully.

This does not mean Hearts Dream Design undertakes to prevent every person from accessing publicly available webpages.

27. LINKS TO HEARTS DREAM DESIGN

You may link to publicly accessible pages on heartsdreamdesign.com without requesting advance permission, provided that the link is lawful, accurate, and not deceptive.

You may not present a link in a way that falsely suggests Hearts Dream Design sponsors, endorses, licenses, approves, or is affiliated with you, your organization, your product, or your service when no such relationship exists.

You may not use Hearts Dream Design's logos or other protected brand assets as though they were your own branding or as evidence of a business relationship without appropriate permission.

28. PRIVACY

Your use of the Site is also subject to the Hearts Dream Design Privacy Policy, which explains how Personal Information is collected, used, disclosed, and protected.

Where appropriate, links to the Privacy Policy will be provided through the Site.

29. CHANGES TO THESE TERMS

Hearts Dream Design may revise these Terms & Conditions periodically to reflect changes in the Site, business, Products and Services, technology, or applicable requirements.

When these Terms are updated, the “Last Updated” date will be revised.

Material changes will be handled in accordance with applicable law.

Your continued use of the Site after revised Terms become effective constitutes acceptance to the extent permitted by applicable law. If you do not agree with revised Terms, you should discontinue use of the Site.

30. GOVERNING LAW

These Terms & Conditions and disputes concerning them will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable federal law or another law that cannot lawfully be waived or displaced applies.

Nothing in these Terms deprives a consumer of protections or rights that cannot lawfully be waived under the law applicable to that consumer.

31. DISPUTE RESOLUTION

If you have a concern or dispute relating to the Site or these Terms, we encourage you to contact Hearts Dream Design first at hello@heartsdreamdesign.com so that we have an opportunity to understand and attempt to resolve the matter.

These Terms do not require mandatory arbitration and do not impose a contractual waiver of the right to a jury trial.

If a dispute cannot be resolved informally, the parties retain the rights and remedies available to them under applicable law, subject to any separate written agreement governing a particular transaction or license.

32. SEVERABILITY

If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the extent reasonably necessary to make it enforceable where permitted by law.

If it cannot be made enforceable, it will be severed without invalidating the remaining provisions.

33. NO WAIVER

If Hearts Dream Design does not immediately enforce a provision of these Terms or exercise a legal right, that does not necessarily constitute a waiver of that provision or right.

A waiver in one circumstance does not automatically constitute a waiver in another circumstance.

34. ENTIRE AGREEMENT

These Terms & Conditions, together with the Privacy Policy and any additional terms or written agreements applicable to a particular Product, Service, license, course, purchase, or transaction, constitute the applicable agreement concerning your use of the Site and the relevant offering.

A specific signed licensing agreement, service agreement, purchase agreement, or other written contract may supplement or supersede portions of these general Terms with respect to the subject matter it covers.
